JANE KELLY REVENUE PARTNER PROGRAM TERMS & CONDITIONS

JANE KELLY REVENUE PARTNER PROGRAM
TERMS & CONDITIONS

Effective Date: November 5, 2026

Last Updated: November 5, 2026

These Jane Kelly Revenue Partner Program Terms & Conditions (“Program Terms”) govern participation in the Jane Kelly Revenue Partner Program (“Program”).

The Program is administered by Artist Jane Kelly, LLC and may include approved commercial opportunities involving designated affiliated Jane Kelly businesses, entities, brands, intellectual property, products, services, music, media, experiences, and future ventures.

The entity that enters into or receives revenue from a particular transaction may be identified as the applicable “Company” for that transaction.

Where a participant executes a separate Revenue & Business Development Partner Agreement (“Partner Agreement”), that signed agreement controls in the event of a conflict with these public Program Terms.

  1. PROGRAM PURPOSE

The Program provides an approved framework through which marketers, affiliate managers, creator recruiters, business-development partners, sponsorship representatives, licensing representatives, sales partners, and other approved commercial representatives may earn performance-based compensation for qualifying commercial revenue they originate or manage.

The Program may apply to current and future commercial activities involving:

• Jane Kelly™
• Artist Jane Kelly
• Jane Kelly music and recordings
• current and future songs and albums
• Glow Studio™
• Fancy Jane Kelly™
• Fancy Barbie™
• Jane Kelly Society™
• merchandise
• fashion
• beauty
• consumer products
• memberships
• appearances
• performances
• sponsorships
• brand partnerships
• licensing
• travel and hospitality
• podcasts and media
• collaborations
• digital products
• experiences
• other approved commercial businesses or ventures

New products, songs, brands, or campaigns may be added without requiring an entirely new Program.

  1. PARTICIPATION REQUIRES APPROVAL

No person becomes a Revenue Partner merely by submitting a lead or contacting Company.

Applicants must:

• be at least 18 years old
• be legally capable of entering contracts
• provide accurate information
• disclose material conflicts
• comply with applicable laws
• receive Company approval
• execute any required Partner Agreement

Company may approve or decline participation in its discretion.

  1. INDEPENDENT RELATIONSHIP

Revenue Partners participate as independent contractors or independent businesses unless expressly agreed otherwise.

Program participation does not itself create:

• employment
• partnership
• joint venture
• franchise
• agency
• fiduciary relationship
• authority to bind Company

  1. APPROVED ACTIVITIES

Revenue Partners may be approved for one or more categories, including:

• affiliate recruitment
• creator management
• marketing partnerships
• sponsorship origination
• brand partnerships
• licensing
• paid performances
• appearance opportunities
• travel and hospitality partnerships
• merchandise partnerships
• media partnerships
• commercial business development
• other approved revenue-generating activities

Authorization for one category does not automatically authorize another.

  1. QUALIFIED OPPORTUNITIES

A commercial opportunity generally qualifies for commission consideration only when:

• Revenue Partner first introduces or originates it
• it was not already known to or actively pursued by Company
• the opportunity is documented
• the counterparty is identified
• the nature of the opportunity is identified
• Company accepts or registers the opportunity
• the opportunity generates qualifying revenue

Simply mentioning a company, person, brand, or prospect does not establish commission rights.

  1. DEAL REGISTRATION

Company may require opportunities to be registered before substantive negotiations begin.

Opportunities may be classified as:

ACCEPTED

Registered to the Revenue Partner.

EXISTING

Already known to, contacted by, or pursued by Company.

DECLINED

Not currently approved for pursuit.

SHARED

Multiple contributors are involved and compensation must be separately allocated.

No commission right exists solely because a prospect was submitted.

  1. PRE-EXISTING RELATIONSHIPS

Unless Company expressly agrees otherwise in writing, commissions are not owed on:

• existing Company relationships
• existing sponsors
• existing customers
• existing partners
• parties already in negotiations
• opportunities already in Company records
• prospects introduced by another representative
• transactions independently generated by Company

  1. COMMISSIONABLE NET REVENUE

Where a Revenue Partner qualifies for compensation, commission is calculated on Commissionable Net Revenue.

“Commissionable Net Revenue” generally means commercial revenue actually received and retained by Company from an approved opportunity after deducting applicable:

• refunds
• credits
• cancellations
• chargebacks
• taxes
• payment reversals
• uncollected amounts
• reimbursed travel expenses
• pass-through production costs specifically excluded by written agreement
• pass-through media spending
• other expressly excluded pass-through amounts

Revenue merely invoiced, promised, or contracted but not received is not Commissionable Net Revenue.

  1. REVENUE MATURITY

Commission generally becomes payable only after:

• Company receives cleared funds
• applicable cancellation periods expire
• applicable refund rights expire
• applicable settlement periods clear
• no unresolved payment dispute exists
• Company retains the applicable revenue

If a counterparty pays in installments, commission generally matures proportionately as each qualifying installment is actually received and becomes final.

  1. COMPENSATION MUST BE IN WRITING

Revenue Partner compensation may be established through:

• a signed Partner Agreement
• a compensation exhibit
• a registered opportunity approval
• a campaign schedule
• another written Company authorization

Public Program participation does not guarantee any particular rate.

No oral promise of commission is binding unless subsequently approved in writing by Company.

  1. TYPES OF COMPENSATION

Approved compensation structures may include:

• affiliate-management overrides
• creator-management overrides
• referral compensation
• business-development commissions
• sponsorship commissions
• deal-origination commissions
• licensing commissions
• performance incentives
• other approved commercial compensation

Exact percentages and deal-specific terms are generally maintained in private Partner Agreements rather than these public Program Terms.

  1. CREATOR AND AFFILIATE MANAGEMENT

A Revenue Partner authorized to recruit or manage creators may earn compensation on qualifying revenue generated by creators specifically credited to that Revenue Partner.

A creator generally counts toward the Partner’s managed roster only when:

• the Revenue Partner recruited the creator or was formally assigned the creator
• Company approved the creator
• the relationship is documented
• required management obligations are being performed

Company may reassign inactive or unmanaged relationships subject to any applicable written agreement.

  1. COMMERCIAL DEAL ORIGINATION

Approved Revenue Partners may originate opportunities involving:

• sponsorships
• brand collaborations
• licensing
• performances
• appearances
• hospitality
• travel
• product partnerships
• merchandise
• media
• commercial content
• other approved ventures

Applicable compensation must be agreed in writing.

  1. NO AUTHORITY TO BIND COMPANY

Revenue Partners may not, without written authority:

• sign contracts
• finalize pricing
• promise Jane Kelly’s participation
• accept payments
• grant exclusivity
• license music
• license image or likeness rights
• license trademarks
• commit sponsorship deliverables
• guarantee press
• guarantee sales
• obligate Company resources

Final approval remains with Company.

  1. RENEWALS AND FUTURE TRANSACTIONS

Commission on one transaction does not create perpetual rights to:

• renewals
• extensions
• future transactions
• unrelated transactions
• new campaigns
• future products
• future relationships with the same counterparty

Renewal or continuing compensation must be expressly approved in writing.

  1. REFUNDS AND CLAWBACKS

If revenue upon which commission was paid is later:

• refunded
• reversed
• charged back
• canceled
• determined fraudulent
• incorrectly attributed

Company may offset the corresponding overpayment against future compensation or recover it where legally permitted.

  1. CHARITABLE FUNDS ARE EXCLUDED

This commercial Revenue Partner Program does not authorize percentage-based commissions on:

• charitable donations
• grants
• donor-advised fund distributions
• charitable pledges
• bequests
• Million Dollar Moments™ charitable contributions
• gifts to the JANE KELLY MARILYN MONROE FOUNDATION INTERNATIONAL
• other charitable funds

Any compensated nonprofit fundraising activity must be separately approved and structured under applicable nonprofit and fundraising requirements.

  1. SECURITIES AND INVESTMENT CAPITAL

These Program Terms do not authorize transaction-based compensation for activities that require securities, broker-dealer, investment-adviser, or similar licensing.

Unless separately reviewed and lawfully structured, Program compensation does not apply to:

• securities offerings
• equity investment solicitation
• debt securities
• investment-fund interests
• securities-based capital raises
• regulated investment transactions

Participation does not authorize a Revenue Partner to act as a securities broker.

  1. REAL ESTATE TRANSACTIONS

These Program Terms do not authorize unlicensed real-estate brokerage activity.

Any compensation connected to activities requiring a real-estate license must be handled separately and in accordance with applicable law.

  1. INTERNAL COMPANY CAPITAL

No commission is earned on:

• Jane Kelly’s personal capital contributions
• Company owner contributions
• internal transfers
• intercompany transfers
• internal loans
• other internal Company funding

  1. CONFLICTS OF INTEREST

Revenue Partners must disclose material conflicts, including:

• compensation from both sides of a transaction
• ownership interests
• family relationships relevant to a transaction
• competing representation
• financial interests in a proposed counterparty

Company may decline conflicted transactions.

  1. NO SECRET COMPENSATION

Revenue Partners may not secretly receive:

• commissions
• referral fees
• kickbacks
• rebates
• equity
• gifts
• undisclosed compensation

from another party to the same Company transaction.

  1. NON-CIRCUMVENTION

Revenue Partners may not:

• divert Company opportunities
• redirect Company customers
• collect Company payments personally
• substitute themselves or another business for Company without authorization
• exploit confidential Company relationships
• otherwise circumvent Company in a transaction generated through the Program

  1. BRAND REPRESENTATION

Revenue Partners may use only approved information and promotional materials.

Partners may not misrepresent:

• audience size
• streaming numbers
• sales
• endorsements
• sponsorships
• media relationships
• pricing
• Jane Kelly’s availability
• Company results

  1. INTELLECTUAL PROPERTY

Jane Kelly™, Artist Jane Kelly, Fancy Jane Kelly™, Fancy Barbie™, Glow Studio™, Jane Kelly Society™, recordings, logos, photographs, artwork, product designs, and other proprietary materials remain owned by their respective rights holders.

Program participation grants no ownership interest.

Any permitted use is limited and revocable.

  1. CONFIDENTIALITY

Revenue Partners must protect nonpublic information including:

• pricing
• proposals
• sponsorship negotiations
• customer information
• unreleased music
• unreleased products
• financial information
• business strategies
• passwords
• private partner information
• private compensation arrangements

  1. MARKETING AND SOLICITATION COMPLIANCE

Revenue Partners must comply with applicable advertising, anti-spam, privacy, intellectual-property, consumer-protection, and platform requirements.

Deceptive solicitation, fabricated testimonials, unlawful spam, or false representations are prohibited.

  1. EXPENSES

Revenue Partners are responsible for ordinary business expenses unless Company approves reimbursement in writing before the expense is incurred.

  1. TAXES

Revenue Partners are responsible for applicable taxes and business obligations.

Company may require tax documentation before making payments.

  1. NO GUARANTEE

Company does not guarantee:

• leads
• contracts
• transactions
• sponsorships
• revenue
• commissions
• minimum income
• continued participation
• future assignments

Compensation depends upon qualifying commercial results.

  1. PROGRAM MODIFICATIONS

Company may update these Program Terms prospectively.

Updates do not retroactively eliminate compensation properly earned under a signed Partner Agreement.

  1. TERMINATION

Company or Revenue Partner may terminate participation subject to any applicable Partner Agreement.

Company may immediately suspend or terminate participation for:

• fraud
• misrepresentation
• unauthorized contracting
• unauthorized collection of Company funds
• unlawful solicitation
• infringement
• misuse of confidential information
• undisclosed conflicts
• deceptive marketing
• material brand misconduct
• other material violations

  1. POST-TERMINATION COMPENSATION

Any right to commissions following termination is controlled by the applicable written Partner Agreement.

Submitting a prospect or maintaining a contact list does not by itself create continuing commission rights.

  1. COMPANY RECORDS

Company accounting, CRM, commerce, and payment-platform records generally control commission calculations unless a documented error is established.

  1. INDIVIDUAL PARTNER AGREEMENTS

Approved Revenue Partners may be required to sign a private Jane Kelly Revenue & Business Development Partner Agreement.

That agreement may specify:

• exact commission percentages
• authorized scope
• registered opportunities
• assigned creator rosters
• renewal compensation
• termination tails
• special exclusions
• confidential commercial arrangements

These details are intentionally not established by the public Program Terms.

  1. GOVERNING LAW

Unless applicable law requires otherwise, these Program Terms are governed by Colorado law.

To the extent legally permitted, disputes will be brought in an appropriate state or federal court serving Denver County, Colorado.

  1. SEVERABILITY

If any provision is found unenforceable, the remaining provisions remain effective to the fullest extent permitted by law.

  1. RELATIONSHIP TO SIGNED AGREEMENTS

These Program Terms provide the general public framework for the Jane Kelly Revenue Partner Program.

If a separately signed Partner Agreement conflicts with these Program Terms, the signed agreement controls for that Partner and transaction.
