TERMS & CONDITIONS

JANE KELLY™ CREATOR & AFFILIATE PROGRAM
TERMS & CONDITIONS

Effective Date: November 5, 2026

Last Updated: November 5, 2026

These Jane Kelly™ Creator & Affiliate Program Terms & Conditions (“Program Terms”) govern participation in the Jane Kelly™ Creator & Affiliate Program (“Program”).

The Program is administered by Artist Jane Kelly, LLC and may include campaigns, products, or transactions offered through designated affiliated entities, brands, or businesses, including AGAPEPHILIA LLC d/b/a Glow Studio and other participating Jane Kelly businesses identified in connection with a particular campaign or offering.

The entity identified as the seller, contracting party, or payor for a particular campaign or transaction may be referred to in these Program Terms as the “Company.”

By applying to, accepting an invitation to, receiving an affiliate link or code for, or otherwise participating in the Program, you agree to these Program Terms.

If you sign a separate Creator & Affiliate Partner Agreement, that signed agreement controls in the event of a conflict with these public Program Terms.

  1. JANE KELLY BRANDS AND OFFERINGS

The Program may apply to current and future commercial offerings associated with the Jane Kelly ecosystem.

For purposes of these Program Terms, “Covered Offerings” may include:

• Jane Kelly™ and Artist Jane Kelly
• Jane Kelly music, recordings, singles, albums, and related releases
• Glow Studio™
• Fancy Jane Kelly™
• Fancy Barbie™
• Jane Kelly Society™
• merchandise and apparel
• fashion
• beauty and cosmetics
• accessories
• lifestyle products
• memberships
• fan experiences
• live and virtual experiences
• travel and hospitality offerings
• media and podcast properties
• digital products
• collaborations
• sponsored campaigns
• licensed products
• collections
• services
• promotional campaigns
• future brands, songs, products, or commercial properties approved for inclusion in the Program

A new song, product, collection, or campaign does not require a new Program agreement merely because it did not exist when a Partner originally joined the Program.

Company may designate which Covered Offerings are commissionable at any given time.

  1. PROGRAM PURPOSE

The Program allows approved creators, influencers, affiliates, UGC creators, TikTok Shop creators, fashion creators, beauty creators, lifestyle creators, music creators, and other approved promotional partners to market Covered Offerings in exchange for performance-based commissions on qualifying attributable sales.

Participation does not guarantee:

• minimum income
• minimum sales
• free products
• paid content
• future campaigns
• audience growth
• reposting by Jane Kelly
• appearances
• sponsorships
• continued Program participation

  1. ELIGIBILITY

Participants must:

• be at least 18 years old
• be legally able to enter into a binding agreement
• provide accurate information
• comply with applicable laws and platform rules
• provide required tax and payment information
• comply with Company brand and campaign requirements
• receive Company approval

Company may approve or decline applications in its discretion.

  1. INDEPENDENT RELATIONSHIP

Program participation does not create employment, partnership, joint venture, franchise, agency, or authority to bind Company.

Partners generally control their own schedule, methods, equipment, and content-creation process, subject to applicable laws, campaign requirements, intellectual-property limitations, and advertising rules.

Partners are responsible for their own taxes, expenses, insurance, equipment, and business obligations.

  1. APPROVED CAMPAIGNS AND PRODUCTS

Only Covered Offerings specifically approved for affiliate participation are commissionable.

Company may:

• add or remove products
• add new songs or campaigns
• create product-specific rates
• create campaign-specific rates
• limit commissions on lower-margin products
• offer special promotional rates
• temporarily increase or reduce rates
• create bonuses
• discontinue campaigns

Changes apply prospectively unless otherwise stated.

  1. TRACKING AND ATTRIBUTION

Approved Partners may receive:

• affiliate links
• promotional codes
• referral links
• TikTok Shop collaborations
• Shopify or e-commerce tracking links
• creator IDs
• campaign-specific links
• other approved attribution methods

Company and applicable platform records generally control attribution.

A transaction ordinarily generates commission for only one Partner unless Company approves otherwise.

Company may establish attribution windows by platform or campaign.

  1. COMMISSIONABLE NET REVENUE

Commissions are calculated on Commissionable Net Revenue rather than gross checkout totals.

“Commissionable Net Revenue” means eligible revenue actually received and retained by Company from an attributable qualifying sale after deducting, where applicable:

• discounts
• promotional reductions
• refunds
• returns
• cancellations
• chargebacks
• payment disputes
• fraudulent transactions
• taxes
• shipping
• delivery charges
• handling charges
• amounts never successfully collected
• amounts later reversed or credited

Ordinary Company overhead is not deducted unless expressly stated for a particular campaign or product.

  1. MATURED SALES AND REFUND WINDOWS

An order does not immediately create a payable commission.

A transaction becomes a “Matured Sale” only after:

• payment has successfully cleared
• the applicable return period has closed
• the applicable refund period has closed
• the applicable cancellation period has closed
• applicable platform settlement periods have cleared
• no unresolved chargeback or dispute exists
• Company has actually received and retained the funds

If a marketplace or payment platform applies a longer return, refund, dispute, or settlement period, the applicable platform period may control.

No commission is paid on refunded, returned, canceled, fraudulent, unpaid, or reversed transactions.

  1. STANDARD PERFORMANCE TIERS

Company may use the following standard performance tiers:

STARTER
10%

GROWTH
12.5%

PRO
15%

ELITE
17.5%

ICON
Up to 20%

Tier eligibility may be based upon Matured Commissionable Net Revenue from a prior completed measurement period.

Higher commission rates may be restricted to designated high-margin products, campaigns, bundles, or collections.

Product-specific or campaign-specific rates supersede the general tier schedule where expressly stated.

New Partners generally begin at the Starter level unless Company approves otherwise.

  1. PERFORMANCE BONUSES

Company may offer additional:

• cash bonuses
• temporary rate increases
• contests
• product incentives
• promotional opportunities
• experiences
• creator recognition
• special campaigns

Bonus requirements will be communicated separately.

Bonuses are generally based upon Matured Commissionable Net Revenue and are not earned on refunded or canceled transactions.

  1. PAYMENTS

Company may calculate commissions monthly or according to the schedule of the applicable commerce platform.

Only Matured Sales are payable.

Company may establish a reasonable minimum payout threshold.

Balances below that threshold may roll forward.

Partners must provide required tax and payment information before receiving payment.

Company may temporarily hold commissions while investigating fraud, payment disputes, attribution issues, or suspected Program violations.

  1. REFUNDS, REVERSALS, AND CLAWBACKS

If a commission has already been paid on a transaction that is subsequently:

• refunded
• reversed
• charged back
• canceled
• determined fraudulent
• duplicated
• incorrectly attributed

Company may deduct the overpayment from future commissions or otherwise recover it where permitted by law.

  1. DISCOUNTS

Partners may use only Company-approved discounts and promotional codes.

Partners may not create unauthorized discounts or represent that Company has approved pricing that has not been authorized.

Commission rates may be reduced for certain deeply discounted promotional periods or products.

  1. SELF-REFERRALS AND MANIPULATION

Unless expressly authorized, Partners may not use their own affiliate links primarily to generate commission on their own purchases.

Prohibited conduct includes:

• fake transactions
• bot traffic
• click farms
• cookie manipulation
• artificial attribution
• fraudulent orders
• fabricated engagement
• fake reviews
• unauthorized self-referrals

Improperly generated commissions may be canceled or recovered.

  1. FTC AND ADVERTISING DISCLOSURES

Partners must clearly disclose material relationships with Company.

This includes receiving:

• commissions
• payments
• free products
• discounted products
• gifts
• complimentary services
• travel
• experiences
• other benefits of value

Disclosures must be clear and noticeable.

Examples may include:

“Ad”

“Sponsored”

“I earn commissions from purchases made through this link.”

“Jane Kelly provided this product to me.”

Where appropriate, platform disclosure tools should also be used.

  1. HONEST ENDORSEMENTS

Partners must provide truthful opinions and experiences.

Partners may not:

• claim to use something they have not used
• fabricate results
• make unsupported factual claims
• create fake testimonials
• misrepresent customer experiences
• make unauthorized medical, financial, or legal claims
• guarantee results Company does not guarantee

  1. CONTENT AND BRAND COMPLIANCE

Company may review Program-related content for compliance.

Company may request correction or removal of:

• inaccurate disclosures
• false information
• unauthorized trademarks
• misleading claims
• prohibited intellectual-property use
• materially noncompliant content

Repeated or material violations may result in suspension or termination.

  1. CONTENT OWNERSHIP

Unless separately agreed, Partners retain ownership of their original creator content.

By participating in the Program, Partner may grant Company a limited, non-exclusive license to repost or feature approved Program content through Company-owned websites, social-media channels, newsletters, and other organic brand channels.

Paid advertising, whitelisting, Spark Ads, or substantially expanded commercial use may require additional written authorization unless already included in a campaign agreement.

  1. MUSIC

Jane Kelly songs and recordings may be used only through:

• approved platform music libraries
• Company-authorized audio
• approved campaign assets
• another legally authorized method

Participation does not grant ownership or unrestricted synchronization rights in any Jane Kelly music.

Partners may not redistribute, sublicense, remix, or commercially exploit recordings outside authorized Program use.

  1. INTELLECTUAL PROPERTY

Jane Kelly™, Artist Jane Kelly, Fancy Jane Kelly™, Fancy Barbie™, Glow Studio™, Jane Kelly Society™, applicable logos, recordings, photographs, product designs, graphics, and other proprietary materials remain owned by their respective rights holders.

Program participation grants only a limited, revocable right to use approved materials for authorized promotional purposes.

  1. PRODUCT SAMPLES

Company may provide selected creators with complimentary products.

Samples are discretionary and do not guarantee:

• commissions
• future campaigns
• paid sponsorship
• future samples
• reposting
• appearances
• endorsement by Jane Kelly

Applicable disclosure requirements still apply.

  1. CUSTOMER DATA

Partners receive no ownership rights in Company customer information.

Partners may not scrape, copy, sell, transfer, or independently market to Company customer data without express authorization and legal permission.

  1. CONFIDENTIAL INFORMATION

Partners must protect nonpublic Company information, including:

• unreleased music
• unreleased products
• private campaigns
• customer information
• passwords
• pricing
• sponsorship negotiations
• private business strategies
• confidential financial information

  1. TAXES

Partners are responsible for their own tax obligations.

Company may require tax documentation before issuing payments and may issue tax reporting documents where required.

  1. PROGRAM MODIFICATIONS

Company may update these Program Terms, commission rates, campaign requirements, and eligible Covered Offerings prospectively.

Changes do not retroactively eliminate commissions already properly earned on Matured Sales.

Continued participation after an updated effective date constitutes acceptance of updated Program Terms to the extent permitted by law.

  1. SUSPENSION AND TERMINATION

Either Company or Partner may terminate participation.

Company may immediately suspend or terminate participation for:

• fraud
• deception
• intellectual-property infringement
• false advertising
• material disclosure violations
• artificial traffic
• payment manipulation
• platform violations
• unlawful conduct
• unauthorized representation of Company
• other material Program violations

  1. EFFECT OF TERMINATION

Properly earned commissions from Matured Sales remain payable subject to these Program Terms.

Pending orders remain subject to normal return, refund, chargeback, and maturation rules.

Termination ends authorization to represent oneself as an active Jane Kelly™ Creator or Affiliate Partner.

  1. NO GUARANTEED EARNINGS

Company does not guarantee:

• sales
• commissions
• income
• views
• engagement
• followers
• conversion rates
• campaign acceptance
• future opportunities

Results vary.

  1. NO AUTHORITY TO BIND COMPANY

Partners may not:

• sign contracts for Company
• promise appearances
• guarantee inventory
• negotiate binding Company obligations
• accept Company payments
• promise sponsorships
• authorize licenses
• speak as an official Jane Kelly spokesperson unless specifically authorized

  1. GOVERNING LAW

Unless applicable law requires otherwise, these Program Terms are governed by the laws of the State of Colorado.

To the extent legally permitted, disputes will be brought in an appropriate state or federal court serving Denver County, Colorado.

  1. SEVERABILITY

If any provision is held unenforceable, the remaining provisions remain effective to the fullest extent permitted by law.

  1. RELATIONSHIP TO INDIVIDUAL AGREEMENTS

Approved Partners may be required to sign a separate Jane Kelly™ Creator & Affiliate Partner Agreement or campaign-specific agreement.

Such agreements may establish:

• individual commission rates
• special campaigns
• product-specific compensation
• additional content rights
• individual obligations
• special bonuses

Where a signed agreement conflicts with these public Program Terms, the signed agreement controls for that Partner.
